Terms of Service

These Terms of Service ("Terms") govern your use of OverdueDesk (the "Service"), a software-as-a-service product that helps businesses track unpaid invoices and draft payment follow-up emails. By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a company, you confirm you are authorized to accept these Terms for that company.

1. The Service

OverdueDesk lets you import invoice information, track payment status, and generate draft payment reminder messages, including with the help of artificial intelligence (AI). OverdueDesk never sends emails on your behalf: you review every message and send it yourself from your own email account.

2. Your account

• You must provide accurate information and keep your login credentials secure.
• You are responsible for all activity under your account.
• You must be at least 18 years old and use the Service for business purposes.

3. Your responsibilities

• You are responsible for reviewing all invoice data and every message before you send it. AI-generated content and AI-extracted invoice details may contain errors.
• You are responsible for complying with laws that apply to your business communications and debt collection practices, including the U.S. Fair Debt Collection Practices Act where applicable and applicable state laws.
• You must only upload data you have the right to use, and must not use the Service to harass, threaten or deceive anyone.

OverdueDesk is a software tool. It is not a collection agency, law firm or accounting firm, and it does not provide legal, tax or financial advice.

4. Subscriptions and payments

• The Service offers a free plan and paid monthly subscriptions. Current prices and limits are shown on the Pricing page.
• Our order process is conducted by our online reseller Lemon Squeezy (Lemon Squeezy, LLC). Lemon Squeezy is the Merchant of Record for all our orders and handles payments, billing, sales tax and related customer service inquiries for payments.
• Paid subscriptions renew automatically each month until cancelled. You can cancel at any time; access continues until the end of the current billing period.
• Refunds are described in our Refund Policy.

5. Usage limits

Each plan includes a monthly number of AI actions. We may apply reasonable limits to protect the Service from abuse and may suspend accounts that violate these Terms.

6. Your data

You own the data you add to the Service. You grant us permission to process it only to provide and improve the Service, as described in our Privacy Policy. You can delete invoices at any time and may request deletion of your account.

7. Availability and changes

We work to keep the Service available and reliable but do not guarantee uninterrupted operation. We may update or change features. If we make material changes to these Terms, we will notify you by email or in the app.

8. Disclaimer and limitation of liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, OverdueDesk is not liable for indirect, incidental or consequential damages, or for any unpaid invoices, lost revenue or disputes with your customers. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.

9. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate accounts that violate these Terms.
